Welcome to LINQ, a professional networking platform designed to connect professionals at in-person events through geolocation-based matching and real-time chat. These Terms of Service ("Terms") govern your access to and use of LINQ's services, websites, and applications (collectively, the "Services").

1. Introduction

1.1 Contract

When you use our Services you agree to all of these terms. Your use of our Services is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information.

By creating a LINQ account or accessing or using our Services, you are agreeing to enter into a legally binding contract with LINQ. If you do not agree to this contract ("Contract" or "Terms of Service"), do not create an account or access or otherwise use any of our Services. If you wish to terminate this Contract at any time, you can do so by closing your account and no longer accessing or using our Services.

Services

This Contract applies to the LINQ mobile application, website, and other LINQ-related services that state that they are offered under this Contract ("Services"), including geolocation-based matching, real-time chat, event integration, and professional networking features.

LINQ

You are entering into this Contract with LINQ (also referred to as "we" and "us").

1.2 Members and Visitors

This Contract applies to Members. When you register and join the LINQ Services, you become a "Member".

1.3 Changes

We may make changes to this Contract.

We may modify this Contract and our Privacy Policy from time to time. If required by applicable law or we make material changes to this Contract, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any of these changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms as of their effective date.

2. Obligations

2.1 Service Eligibility

Here are some promises that you make to us in this Contract:

You're eligible to enter into this Contract and you are at least our "Minimum Age."

The Services are not for use by anyone under the age of 18.

To use the Services, you agree that: (1) you must be 18 years old or older; (2) you will only have one LINQ account, which must be in your real name; and (3) you are not already restricted by LINQ from using the Services. Creating an account with false information is a violation of our terms.

2.2 Your Account

You will keep your password a secret and will not share your account with anyone else and will follow our policies and the law.

Members are account holders. You agree to: (1) protect against wrongful access to your account (e.g., use a strong password and keep it confidential); (2) not share or transfer your account or any part of it; and (3) follow the law and our Community Guidelines. You are responsible for anything that happens through your account unless you close it or report misuse.

2.3 Location Services

Our Services rely on location data to provide geolocation-based matching and event features.

By using our Services, you consent to our collection and use of location data as described in our Privacy Policy. You may disable location services at any time through your device settings, but this may limit the functionality of our Services. We use location data to:

  • Match you with nearby professionals at events
  • Verify your attendance at events
  • Provide location-based recommendations
  • Enhance the networking experience

2.4 Notices and Messages

You're okay with us providing notices and messages to you through our applications and contact information. If your contact information is out of date, you may miss out on important notices.

You agree that we will provide notices and messages to you in the following ways: (1) within the Services or (2) sent to the contact information you provided us (e.g., email, mobile number). You agree to keep your contact information up to date.

2.5 Sharing

When you share information on our Services, others can see, copy and use that information.

Our Services allow sharing of information in many ways, such as through your profile, messages, and event participation. Depending on the feature and choices you make, information that you share may be seen by other Members at the same events or in your professional network.

3. Rights and Limits

3.1 Your License to LINQ

You own all of your original content that you provide to us, but you also grant us a non-exclusive license to it.

As between you and LINQ, you own your original content that you submit or post to the Services.

You grant LINQ a worldwide, non-exclusive license to the content and other information you provide to our Services with the following limitations:

  1. You can end this license for specific content by deleting such content from the Services, or generally by closing your account
  2. We will not include your content in advertisements for third parties without your separate consent
  3. We will honor your privacy settings for shared content
  4. We may make format changes to your content but will not materially modify its meaning

3.2 Service Availability

We may change or limit the availability of some features, or end any Service.

We may change, suspend or discontinue any of our Services. We don't promise to store or show any information that you've shared. LINQ is not a storage service.

3.3 Intellectual Property Rights

LINQ reserves all of its intellectual property rights in the Services. LINQ trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of LINQ.

3.4 Professional Networking Guidelines

Our Services are designed for professional networking and business purposes.

You agree to use our Services in a professional manner and for legitimate business networking purposes. Any use for personal dating, romantic relationships, or non-professional purposes is prohibited.

4. Disclaimer and Limit of Liability

4.1 No Warranty

LINQ AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, LINQ DISCLAIMS ANY IMPLIED OR STATUTORY WARRANTY.

4.2 Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LINQ WILL NOT BE LIABLE FOR LOST PROFITS, REPUTATION, LOSS OF DATA OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

LINQ WILL NOT BE LIABLE TO YOU FOR ANY AMOUNT THAT EXCEEDS US $1000.

4.3 Event and Location Disclaimer

LINQ is not responsible for:

  • The accuracy of event information
  • The conduct of other Members at events
  • Your safety at events or locations
  • Third-party event organizers or venues

5. Termination

We can each end this Contract, but some rights and obligations survive.

Both you and LINQ may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services.

6. Governing Law and Dispute Resolution

This Contract is governed by the laws of the State of California, U.S.A. Any disputes will be resolved in the federal or state courts in Santa Clara County, California, USA.

7. General Terms

This Contract is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

8. LINQ "Dos and Don'ts"

LINQ is a community of professionals. This list of "Dos and Don'ts" limits what you can and cannot do on our Services.

8.1 Dos

You agree that you will:

  1. Comply with all applicable laws
  2. Provide accurate contact and identity information to us and keep it updated
  3. Use your real name on your profile
  4. Use the Services in a professional manner
  5. Respect other Members' privacy and professional boundaries
  6. Use location services responsibly and only for legitimate networking purposes

8.2 Don'ts

You agree that you will not:

  1. Create a false identity or misrepresent your identity
  2. Use automated methods to access the Services or collect data
  3. Override any security features or access controls
  4. Share confidential information of others without consent
  5. Violate the intellectual property rights of others or LINQ
  6. Post anything that contains harmful code or malware
  7. Use the Services for dating, romantic relationships, or personal purposes
  8. Harass, stalk, or threaten other Members
  9. Share inappropriate, offensive, or unprofessional content
  10. Use the Services to spam or send unsolicited messages
  11. Attempt to access other Members' accounts or private information
  12. Use location data for tracking or surveillance purposes
  13. Misrepresent your location or check into events you're not actually attending

9. Complaints Regarding Content

We ask that you report content and other information that you believe violates your rights, our Community Guidelines, or otherwise violates this Contract or the law. We may remove or restrict access to content that violates our policies.
